Terms of Service

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (“User”, “you”) and RealMargin Pty Ltd, an Australian proprietary limited company registered in Victoria (“RealMargin”, “we”, “us”). By creating an account or using any part of our service, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and accept these Terms in full.

2. Description of Service

RealMargin is a financial analytics platform designed for ecommerce businesses. Our service connects to your Shopify store, payment processors, and bank accounts (via Plaid) to calculate your true profit margin after accounting for all costs including COGS, payment processing fees, advertising spend, refunds, payroll, and supplier obligations.

The service includes AI-powered insights, weekly digest reports, money leak detection, cash flow forecasting, bank reconciliation, and a customisable financial dashboard. We are continuously developing the service and may add, modify, or remove features at any time with reasonable notice.

RealMargin provides financial information and analytics for informational purposes only. Nothing in the service constitutes financial advice, tax advice, or accounting advice. You should consult qualified professionals for such guidance.

3. Account Registration

You must create an account to use RealMargin. You agree to provide accurate, current, and complete information during registration and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at support@realmargin.com if you suspect unauthorised access to your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

You may not create an account for the purpose of competing with us, benchmarking our service, or reverse-engineering our technology. One person may not maintain more than one active free trial account.

4. Subscription and Billing

RealMargin offers paid subscription plans billed monthly or annually. All prices are listed in Australian Dollars (AUD) unless otherwise stated. Billing is processed via Stripe.

Free Trial. We may offer a free trial period. At the end of the trial, your account will automatically transition to a paid plan unless you cancel before the trial expires.

Renewals. Subscriptions renew automatically at the end of each billing period. You authorise us to charge the payment method on file for each renewal period.

Cancellation. You may cancel your subscription at any time through the Settings page or by contacting support@realmargin.com. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds for unused portions of a billing period.

Price Changes.We may change our pricing with 30 days’ notice. If you do not agree to a price change, you may cancel before it takes effect.

Taxes. Prices may be exclusive of GST and other applicable taxes. You are responsible for all applicable taxes in your jurisdiction.

5. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to our systems or any third-party systems connected through our service
• Transmit malware, viruses, or any malicious code
• Scrape, crawl, or extract data from the service using automated means without our express permission
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of the service
• Share your account credentials with others or allow multiple individuals to use a single account concurrently
• Use the service to store or transmit content that infringes third-party intellectual property rights

We reserve the right to suspend or terminate your account immediately and without notice if we determine you have violated this section.

6. Intellectual Property

The RealMargin service, including its software, algorithms, visual design, brand assets, and documentation, is owned by RealMargin Pty Ltd and protected by Australian and international intellectual property laws. Nothing in these Terms grants you ownership of our intellectual property.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the service for your internal business purposes, subject to these Terms.

You retain all ownership rights in your data (including your Shopify store data and financial records). By using our service, you grant us a limited licence to process and analyse your data to provide the service.

7. Third-Party Integrations

The service integrates with third-party platforms including Shopify, Meta, and Plaid. Your use of these integrations is subject to the respective terms of service of those platforms. We are not responsible for changes to third-party APIs, service outages, or data accuracy issues arising from third-party systems.

You are responsible for ensuring your use of connected platforms complies with their terms. If a third-party integration is terminated, affected features of RealMargin may become unavailable.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or that financial calculations will be 100% accurate. The accuracy of RealMargin’s calculations depends on the quality and completeness of data from your connected integrations.

Nothing in these Terms limits any non-excludable guarantees you may have under the Australian Consumer Law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REALMARGIN PTY LTD AND ITS DIRECTORS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above limitations may not apply to you.

10. Termination

You may terminate your account at any time by cancelling your subscription and requesting account deletion via support@realmargin.com.

We may suspend or terminate your access immediately and without notice if: (a) you breach these Terms; (b) we are required to do so by law; (c) we reasonably believe your use poses a security risk or legal liability.

Upon termination, your right to use the service ceases immediately. We will delete your data within 30 days of account termination, subject to legal retention requirements. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, and limitation of liability.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria for any dispute arising from or related to these Terms or the service.

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of 30 days.

12. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and RealMargin regarding the service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

Waiver. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
